By accessing and using BoostCliniq AI ("Platform," "Service," "we," "us,"), you accept and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Platform.

We reserve the right to modify these terms at any time. Your continued use of the Platform constitutes acceptance of the modified terms. We will notify users of material changes via email or Platform notification.

2. License and Use

We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You agree not to:

• Sublicense, rent, lease, or transfer the Platform
• Reverse engineer, decompile, or attempt to derive source code
• Remove or alter any proprietary notices or labels
• Use the Platform for competitive analysis or benchmarking
• Use the Platform in violation of applicable laws
• Access the Platform through automated means without authorization

All rights not expressly granted are reserved by BoostCliniq AI.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Provide accurate, complete, and current information
• Maintain the security of your password
• Notify us immediately of unauthorized access
• Accept responsibility for all activities under your account
• Comply with all applicable laws and regulations

We are not liable for unauthorized access resulting from your failure to protect account credentials.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Transmitting malware, viruses, or harmful code
• Attempting to gain unauthorized access to the Platform
• Harassing, threatening, or defaming any person
• Collecting or tracking personal information without consent
• Interfering with the operation or functionality of the Platform
• Using the Platform for spam, phishing, or fraudulent activities
• Violating HIPAA, HITECH, or other healthcare regulations
• Accessing or using data beyond your authorized scope
• Sharing login credentials or allowing unauthorized access

Violation of these terms may result in immediate account suspension and legal action.

5. HIPAA Compliance

BoostCliniq AI operates as a HIPAA Covered Entity and Business Associate. We comply with all HIPAA Privacy, Security, and Breach Notification Rules.

Covered entities using our Platform remain responsible for HIPAA compliance. We provide the technical infrastructure and security controls; you maintain responsibility for access controls and administrative safeguards.

6. Intellectual Property

The Platform, including all content, features, and functionality, is owned by BoostCliniq AI, its licensors, or other providers and is protected by copyright, trademark, and other intellectual property laws.

We respect intellectual property rights and respond to valid takedown notices.

7. Limitation of Liability

Except where prohibited by law, to the maximum extent permitted:

• BoostCliniq AI's total liability shall not exceed the amount paid for the service in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of data, revenue, profits, or business opportunity
• We are not liable for service interruptions due to circumstances beyond our control

Some jurisdictions do not permit limitation of liability for certain damages, so this limitation may not apply to you.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied:

• We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Platform will be uninterrupted, error-free, or secure
• We do not warrant that defects will be corrected or that results will be satisfactory

You assume all risk associated with your use of the Platform.

9. Indemnification

You agree to indemnify and hold harmless BoostCliniq AI from any claims, damages, losses, and expenses (including attorney's fees) arising from: your use of the Platform; your violation of these terms; your violation of applicable laws; your data or content; or violation of third-party rights. This includes HIPAA violation claims resulting from your administrative or access control failures.

10. Termination

We may suspend or terminate your account and access to the Platform:

• For violation of these terms
• For non-payment of fees
• For suspected illegal activity or fraud
• For security threats or HIPAA violations
• For any reason with 30 days notice and reason provided

Upon termination, your right to use the Platform ceases immediately. You remain responsible for fees incurred through the termination date. We will securely destroy your data per applicable laws and our data retention policy.

11. Governing Law

These Terms of Service are governed by the laws of India, without regard to conflict of law principles. You consent to jurisdiction in the courts of India for any disputes arising from these terms or the Platform.
